I. INTRODUCTION
***************
WELCOME TO TRUE DISCOUNT CALLING
Cyberlink is a full service telecommunications company based in Los Angeles,
CA. It provides discount telecommunication services to customers around the
world. Since 1986, thousands of individuals and businesses have reduced
their international telephone costs by using the various services we offer.
Typical savings are 30%-70% compared to AT&T, MCI, Sprint, and other telephone
companies. (For information about Cyberlink see Supplement 1 below.)
We offer two calling plans that can save you money on international calling
no matter where you are calling from or to. All of our services utilize 100%
fiber optic connections. You do not need to change your present long
distance carrier to use our services.
1)INTERNATIONAL PLUS
This service is available in the U.S. and Canada. International Plus allows
you to conveniently access our low international rates by calling a toll-free
number. From the Continental U.S., our regular rates apply. From Canada,
add 19 cents to the regular rates. ( For more detailed information on
International Plus service see Supplement 2 below. )
International Plus service can only be used from the telephone numbers you
designate. If you are travelling, or need to make phone calls from multiple
locations, International Callback is the best service to use (see below).
International Callback service should also be used if you will be calling from
a university telephone system.
2)INTERNATIONAL CALLBACK
This service is available from any location in the world. You are assigned a
unique "trigger" number. When this number is called, you let it ring once
and hang up (there is no charge for this initial call) and within seconds
receive a callback with a dial tone. This service is normally billed by
credit card.
The callback number can be changed at any time, making the system
100% portable. You can even receive a callback to a hotel room or
telephone extension. For calls from the U.S., our regular rates apply. For
calls from other countries to the U.S., add 10 cents to the regular rate for
the country. For calling between two non U.S. countries, add the rates
together plus 20 cents. ( For step-by-step instructions on the use of
International Callback see Supplement 3 below. )
START SAVING TODAY
To start saving with either International Plus or International Callback,
simply fax or mail us your completed order form. For International Plus,
make sure to include all of the telephone numbers you will be calling from,
as well as the requested credit information. For International Callback,
remember to list each number you would like to be called back to. Make
sure to sign the order form before faxing or mailing it to us.
INTL PLUS accounts take fifteen business days and INTL CALLBACK accounts
take ten business days to process. As soon as your account is ready, you will
be faxed or mailed the information you need to start use immediately. A
monthly bill with call details is mailed to all customers, including
international customers, regardless of the payment method chosen.
Other competitive services are offered by Cyberlink as well. One of them
called INTEGRITY provides an 800 Service for businesses in the Continental
US (for $0.16/min any time, with 6-second increment billing). Inquire for
more information.

II. CYBERLINK INTERNATIONAL RATES
**********************************
All rates are per minute, and apply 24 hours a day, every day. The rates are
regular (not promotional). Billing is in 6 second increments with a 30 second
minimum. Competitive rates are available for all countries. Please inquire
if the country you are looking for is not listed. All rates are in U.S.
dollars.

a) In INTL PLUS service agreement instead of the name of your bank
you could choose to give the name of a utility company whose bills you have
paid regularly, and your account with them.
b) Cyberlink is registered in CA, licensed to provide telecommunication
services and has no customer complaints against it. All the information
can be checked independently through the Better Business Bureau of Los
Angeles at (213)-251-9696.
c) To use INTL CALLBACK touch-tone telephone is necessary (or pocket
tone-dialer).
d) INTL CALLBACK service allows to call from a university extension.
In INTL PLUS computer cannot trace back such an extension to
authorize your call. On the contrary, in INTL CALLBACK service computer
will not attempt to trace back your call. With CALLBACK service you are
assigned an APN (see Supplement 3 below) that you dial to initiate a call.
When you dial this APN and hang up, computer will return your call
automatically to the specified number. You can use CALLBACK service if you
are able to make a long distance call to a number in the USA from your
university extension.
e) In order to establish service for CALLBACK, a "Service Request" form
must be completed in full including billing method. Billing may be by
MASTERCARD, VISA, AMERICAN EXPRESS, CASH DEPOSIT, or IRREVOCABLE LETTER
OF CREDIT. Regardless of your choice of billing methods, you will be
provided with monthly CALL DETAIL REPORTS listing all of your calls and
duration, etc.. You will be activated and provided with usage instructions
within 10 (ten) business days of receipt of your completed "Service
Request" form.
f) A simple way to explain our low rates is that Cyberlink's services use the
same lines as AT&T, MCI or Sprint, however, Cyberlink does not advertise in
the mass media and passes the savings to the customers. So, if you like the
service, please, refer us to your friends.

WHAT IS CYBERLINK?
******************
Cyberlink was founded in 1986 and quickly became a large regional
and then national long distance carrier. Since deregulation in
the United States, Cyberlink has built a reputation for extremely
low rates and outstanding service. To complement its domestic
network, Cyberlink has designed a fiber-optic international
network that provides dedicated point-to-point facilities to all
international locations.
Cyberlink utilizes a fully digital Northern Telecom DMS250 switch
and a DEX 600 switch. Both are located in the One Wiltshire
Building in downtown Los Angeles. The switches are connected to
the local exchange companies via fiber-optic facilities.
Cyberlink is a business-based carrier employing state-of-the-art
and feature-rich switching equipment and deploying a domestic and
international network of fiber-optic facilities. THERE ARE NO
SATELLITE OR MICROWAVE FACILITIES IN THE NETWORK.
The international network has been designed so that back-up
switched facilities are in place, ensuring smooth delivery of
voice, fax, and data traffic under any conditions. Cyberlink has
developed relationships with foreign PT&Ts and has established a
subsidiary in Europe. This has positioned Cyberlink as a leader
in the emerging and rapidly growing international market.
Cyberlink is currently offering international calling at
extremely competitive rates and plans to further discount those
rates as its network expands in order to provide an even greater
savings to its customers.
Cyberlink, with five offices in the United States and six offices
in various foreign countries, currently has 85 employees, more
than 3000 agents. Les Lydiate, President, has over 30 years
experience in the telecommunications industry, 15 of which have
been in engineering. His experience includes ten years as
Vice President of Marketing & Strategic Planning with ComSystems
(now the ComSystems/Metromedia/LDDS network).
Cyberlink is known for unsurpassed reliability, customer service,
and innovation in a rapidly changing industry. Its customers
include Canon, Bank of Alaska, many foreign embassies, and a
variety of companies that rely on quality data and private line
networks to increase productivity and reduce costs through

WHAT IS INTERNATIONAL-PLUS??

INTERNATIONAL-PLUS is a service provided for those customers who do not access
Cyberlink's domestic long distance service and who want to take advantage of
Cyberlink's international calling rates.
This product is available in the Continental US, Alaska, Hawaii, and Canada.
HOW TO USE INTERNATIONAL-PLUS
Dial 1-800-XXX-XXXX (to be assigned).
After the tone, immediately
dial 011 + Country Code + City Code + Telephone Number.
HOW DOES INTERNATIONAL-PLUS WORK?
The customer provides Cyberlink all the authorized telephone numbers (ANIs)
from which INTERNATIONAL-PLUS will be used. When the 800 number is dialed by
the customer, the Cyberlink switch reads the ANI from which the customer is
calling. If the call is made from an unauthorized ANI, the call will be
blocked.
INTERNATIONAL-PLUS RATES
Rates for the Continental United States are listed in Section II above.

INTERNATIONAL CALLBACK INSTRUCTIONS
***********************************
TO PLACE A CALL:*******
1. Dial your assigned Access Phone Number (APN).
2. Let it ring one or two times, then hang up.
(If you had to use pulse-dialing to reach the APN from your country, switch
your telephone into tone-dialing mode at this moment.)
The system will call you right back at your programmed callback number.
3. When the system calls you back:
(a) If you have an extension number appended to your callback number, you
will hear the voice recording which instructs the operator to connect the
call to your extension. Press the star key (*) to clear this recording and
this will take you to Step 4;
OR
(b) If you have no extension number in your programmed callback number, go
directly to Step 4.
4. After the bong or voice recording enter the number you wish to call,
followed by the star key (*).
( For numbers in the USA dial 1 + Area Code + Number,
For numbers in other countries dial Country Code + City Code + Number )
5. Voice recording will say "One moment please", and your call will be
connected.
6. When you are finished with your call:
(a) press the pound key (#) wait for the bong, and enter another number to
place another call
OR
(b) press the pound key twice (##) to insure that call is disconnected and
billing stops.
TO CHANGE CALLBACK NUMBER AND INITIATE CALL:********
1. Dial your assigned Access Phone Number (APN). Do not hang up; let the
system answer.
(If you had to use pulse-dialing to reach the APN from your country, switch
your telephone into tone-dialing mode at this moment.)
2. After the bong or voice recording, enter your six-digit authorization code,
followed by the star key (*).
3. After voice recording, press 1 to change callback destination. (Caution:
You will also be offered the option to place a call by pressing 2. Do not
place a call at this time as this method is not as cost effective as the
"callback" method below.) You may also press the star key (*) at this point to
hang up and disconnect.
4. After voice recording, enter your new callback destination number
(Country Code + City Code + Number), followed by the star key (*).
5. After voice recording, enter callback extension or room number to be
appended to callback destination, followed by the star key (*). If you have no
extension number in your callback destination, press the star key (*) only.
6. After voice recording, press 1 to save changes to callback number and
initiate a call. (Press 2 to Initiate a call to the new callback number
without saving your change to your callback destination. Press the star key
(*) to cancel session and disconnect.)
7. Voice recording instructs you to hang up; the system will call you right
back.
8. Upon answering callback:
(a) If you have an extension number appended to your callback number, you
will hear the voice recording which instructs the operator to connect the
call to your extension. Press the star key (*) to clear this message, and
this will take you to Step 9.
OR
(b) If you have no extension number in your programmed callback number,
you will be taken directly to Step 10.
9. If you pressed the star key (*) to clear the extension recording, you
must now press the star key (*) again to progress to Step 10.

10. After the voice recording, enter the number you wish to call
(Country Code + City Code + Number).
11. Your call connects.
12. To make another call when your call is completed you may:
(a) press the pound key (#), wait for the bong, and enter another number
you wish to call

WHY INTERNATIONAL CALLBACK IS SO POPULAR?

Most overseas telephone companies are partially or wholly owned
and operated by the government. Since there is little or no
competition, international long distance rates are much higher
